CONFIDENTIALITY AND ACCESS AGREEMENT- Casa Style Group Inc
This Confidentiality and Access Agreement (the “Agreement”) is made and entered into as of [DATE] (the “Effective Date”), by and between Casa Style Group Inc, and [CLIENT NAME], (the “Client”).
WHEREAS, the Company is engaged in the business of providing services related to social media management, and the Client desires to engage the Company to perform such services; and
WHEREAS, in connection with such services, the Company may require access to the Client’s social media accounts, including but not limited to Facebook and Instagram, and the Client is willing to provide such access subject to the terms and conditions set forth herein.
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:
- Access to Social Media Accounts. The Client hereby grants the Company access to its Facebook and Instagram accounts, including the login credentials and passwords associated with such accounts, solely for the purpose of providing social media management services. The Client acknowledges and agrees that it is solely responsible for the accuracy and completeness of any information provided to the Company in connection with such access.
- Confidentiality. The Company agrees to use the information obtained from the Client’s social media accounts solely for the purpose of providing social media management services. The Company agrees to maintain the confidentiality of all information obtained from the Client’s social media accounts, and will not disclose any such information to any third party without the Client’s prior written consent, except as required by law.
- Protection of Information. The Company agrees to take reasonable measures to protect the information obtained from the Client’s social media accounts, including implementing appropriate technical and organizational measures to prevent unauthorized access or disclosure.
- Liability. The Client acknowledges and agrees that it is solely responsible for any content posted on its social media accounts, and that the Company shall not be liable for any damages, losses or expenses arising out of or in connection with any such content. The Client further acknowledges and agrees that it is solely responsible for complying with all applicable laws, rules and regulations regarding the use of its social media accounts.
- Term and Termination. This Agreement shall commence on the Effective Date and shall continue until terminated by either party upon thirty (30) days’ written notice to the other party.
- Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the province of Ontario], without giving effect to any choice or conflict of law provision or rule.
- Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof, and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written, between the parties.
- Amendments. This Agreement may be amended or modified only in writing signed by both parties.
